IPO Membership Terms & Conditions

Interior Premium Outlet Membership Card [“IPOMC”] is a loyalty program owned and managed by M World Concept Sdn Bhd (“M World”).

Your participation in this program will be governed by these Terms and Conditions, and it is your responsibility to read and understand all of them.

 

A. GLOSSARY

  1. Interior Premium Outlet [“IPO”] is owned and managed by M World Concept Sdn Bhd (“M World”) and located at No. 5, Jalan BP 4/9, Bandar Bukit Puchong, 47100 Puchong, Selangor Darul Ehsan

  2. “M World” means M World Concept Sdn Bhd (Company No. 1075007-K), a company incorporated in Malaysia with its registered address at No. 5, Jalan BP 4/9, Bandar Bukit Puchong, 47100 Puchong, Selangor Darul Ehsan.

  3. a) IPO Elite Club is located at IPO, Level 3 b) Boardroom is located at IPO, Level 3 whereas Discussion Room is located at IPO, Ground Floor. c) Experience Gallery is located at IPO, Level 1 are facilities operated and managed by M World (collectively referred to as “Facilities”)

  4. “Club Ambassador” means the person who coordinating management operations of the Facilities.

  5. “Charges” means the charges paid by the Member to M World in respect of the service provided by the Facilities.

  6. The headings in these conditions are for convenience only and shall not affect their interpretation.

  7. Words in the singular shall include the plural and vice versa, references to any gender shall include the other reference to legal persons shall include natural persons and vice versa.

B. GENERAL TERMS & CONDITIONS

  1. M World shall have the right to refuse a Member entry to the Facilities for any Statutory, regulatory or policy reasons including but not limited to health and safety policies or fire regulations.

  2. A Member visit to the Facilities will be at the Member’s own expense and risk.

  3. The Member agrees to adhere to any no smoking policies in operation in the Facilities.

  4. Member shall not disturb or annoy other Member at the Facilities.

  5. Member shall comply with the directions and requests of staff at Facilities.

  6. Use of walls in the Facilities for display material is not permitted.

  7. The Member is financially responsible for any damage, breakage or theft caused by himself or any accompanying guest(s) of the Member. The Member undertakes to refund any damage to the Facilities or to any property of IPO.

  8. M World shall have the right to refuse admission or to remove the Member or any other accompanying guest(s) of the Member from the Facilities if in our reasonable opinion, granting the admission might be a risk to our property, the safety of others and/or affect the enjoyment of the Facilities by others and in particular (but without limitation) where there is a breach of the following:
    9. a. not to cause inappropriate behaviour, interference, disruption, offence, hindrance or intimidate to any of the other visitors or the Facilities officials, including but not limited to, prolonged obstruction of the view to exhibited objects or causing noise (including the use of mobile phones and sound equipment);
    b. not to bring offensive weapons into the Facilities;
    c. not to bring animals or pets into the Facilities;
    d. not to smoke, including e-cigarettes;
    e. not to use of any illegal drugs in accordance with Dangerous Drugs Act 1952;
    f. not to access to any area of the Facilities other than areas designated for access by Member;

  9. M World retains the right to refuse admission, temporarily or for good to any good, to any Member who, during one or more previous visits to the Facilities or any other area of IPO, damaged any object through negligence, gross negligence and/or intent, or if the M World has any other legitimate grounds for fearing the Member will cause damage. The decision to refuse admission will be announced to the Member immediately, if possible in writing.

  10. Unless it is expressly prohibited, Member are permitted to take personal photographs and recording within the Facilities provided that these are not sold or used for any commercial purpose.

  11. By accepting these Terms and Conditions, Member acknowledge that M World may on demand have access to photographs taken and video footage captured by the Member and request that certain photographs and/or footage are deleted if they are deemed to be offensive to or infringe the privacy of other guests and/or staff. By accepting these Terms and Conditions, the Member agree not to intentionally photograph and/or capture video footage of any individual without that person’s permission and the Member must adhere to all photography/filming restrictions in place from time to time whilst within the Facilities. In the event the member concerns failed to comply of the above, M World shall refer the matter to the relevant authorities.

  12. M World reserves the right to amend these Terms and Conditions at any time and from time to time as it deems fit at its absolute discretion at any time without prior notice to Member. Member may obtain the updated version of these Terms and Conditions from M World’s website at www.ipo-world.com or the Mobile App. Notwithstanding the foregoing, continued use of the Website or Mobile App will be deemed to constitute your acceptance of the new Terms and Conditions. Failure to observe the Terms and Conditions stated herein by a Member may result in termination of Membership.

  13. 
No amendments or variation of these conditions shall be effective unless made in writing and signed or issued by M World.

  14. M World shall not be liable to the Member for any loss or damage caused to or suffered by the Member as a direct or indirect result of the provision of the Facilities by or on behalf of M World being prevented, restricted, hindered or delayed by reason of any circumstances outside the control of M World

  15. The right powers and remedies provided pursuant to these conditions are cumulative and do not exclude or affect any rights, powers or remedies provided by law. No delay in exercising, or non-exercising by M World of any rights or remedies under these conditions shall operate as a waiver or lease of that right, power or remedy.

  16. In the event that any clause of the Terms and Conditions herein is held to be invalid or unenforceable, it shall not render the remaining Terms and Conditions invalid and unenforceable, and the remaining portion of the Terms and Conditions shall remain in full force and effect.

  17. The Terms and Conditions herein are governed by and shall be construed in accordance with laws of Malaysia. Members are hereby expressly submitted to the exclusive jurisdiction of the courts in Malaysia.

C. MEMBERSHIP

  1. Application for IPOMC is open to all residents of Malaysian and Non-Malaysian aged 21 years old and above. Any individual who wishes to become a Member must agree to be bound by these Terms and Conditions, as varied from time to time at the sole discretion of M World.

  2. Membership card shall be issued one (1) per member. IPOMC shall remain as the property of M World at all times.

  3. A registered Member will enjoy benefits and privileges to use and access IPO Elite Club, Meeting Room and IPO’s Experience Gallery (collectively referred to as “Facilities”) set in these Terms and Conditions herein.

  4. The IPOMC is not a credit card or charge card.

  5. No annual fee will be charged for IPOMC.

  6. Unless otherwise stated, this IPO membership is non-transferable and non-assignable. Members are strictly prohibited from allowing non-members to use their IPOMC to enjoy its benefits and/or privileges.

  7. The IPOMC shall be valid throughout the expiry date stated in the IPOMC.

  8. Upon the expiry of the IPOMC, the IPOMC will be renew for a further term at the sole discretion of M World.

  9. M World may refuse an application for Membership and reserves the right not to disclose the reasons for such refusal.

  10. By providing your personal information, you signify your consent to the processing of your personal information by M World and all its successors, assigns, officers, directors, shareholders, agents, affiliates, strategy partners and subsidiaries in accordance with Personal Data Protection Act 2010 [ “PDPA”].

  11. This IPOMC must be presented to enjoy the IPOMC benefits.

  12. When an IPOMC is lost, stolen or when there is a change of personal particulars, the member is responsible for informing M World either through the M World official website.

  13. If IPOMC is damaged / loss or stolen, there may be a nominal fee charged for a replacement card at the sole discretion of M World.

  14. IPOMC shall remain as the property of M World at all times.

  15. An IPOMC member may cancel his or her membership by submitting request through M World’s website at www.ipo-world.com to M World. Upon cancellation request, the IPOMC Member concerned shall have no rights, interests or claims whatsoever benefits with regard to the earlier cancelled membership.

  16. If IPOMC membership is terminated, the member will lose all benefits associated with his account and the member future participation in the IPOMC may be prohibited in M World sole discretion.

  17. M World reserves the right to terminate, cancel or suspend the membership of a Member at any time without prior notice and is not liable to compensate for any loss, damage or expense accrued, including without limitation to the loss of profit, reputation, service, data or other intangible damage (regardless of whether M World receives prior notice of the possibility of damage), in the event the Member:-
    18. i) Supplies any misleading information or makes any misrepresentations to M World or to any Business Partner in connection with M World; or
    ii) Abuses any privilege accorded to the Member under the IPOMC; or
    iii) Engages in any fraudulent activities under the IPOMC; or
    iv) is deceased or is declared a bankrupt; or
    v) Displays inappropriate behaviour against M World’s staff.

  18. M World retains the right to refuse admission, temporarily or for good to any good, to any Member who, during one or more previous visits to the Facilities or any other area of IPO, damaged any object through negligence, gross negligence and/or intent, or if the M World has any other legitimate grounds for fearing the Member will cause damage. The decision to refuse admission will be announced to the Member immediately, if possible in writing.

  19. M World (including its successors, assigns, officers, directors, shareholders, agents, affiliates and subsidiaries) shall not be liable to any third party authorized by or claiming through the IPOMC’s member for any loss, damage, cost, expenses, actions, suits, claims and demand whatsoever, whether direct, indirect, special or consequential, of loss of business, revenue of profits or of any nature suffered by the IPOMC Members or any person for any loss, damage or injury caused or suffered by a person arising from the usage of the IPOMC.


D. IPO ELITE CLUB

  1. General

    2. 1.1 IPO Elite Club (“Club”) are provided by M World subject to these terms and conditions, which the Member shall indicate and qualify acceptance of by booking the IPO Elite Club and paying the Charges (if applicable).


  2. IPO Elite Club

    3. 2.1 IPO Elite Club (is available at the IPO, Level 3. They can be access only through reservation by Registered Member via telephone at +603 8066 1888, +603 8061 8288, +603 8063 8288, (Monday to Friday, 9:00am – 6:00pm, Malaysia time) or at www.ipo-world.com (subject to the availability). Reservation and/or booking exceeds the operation hours may be make subject to the approval by M World.

    2.2 IPO Elite Club shall use its reasonable endeavors to provide services during the operation hours advertised, but reserves the right to vary the hours of operation or close the club due to refurbishment, relocation or otherwise made at the discretion of M World.

    2.3 Members agree to provide a minimum of twenty-four (24) hours’ notice to IPO Elite Club in the event of cancellation. A minimum of seventy-two (72) hours’ notice to IPO Elite Club is required in the event of cancellation of a group booking. A group booking is a booking of 10 or more persons. For the avoidance of doubt, cancellation is made by way of telephone to our Club Ambassador. Member who do not show up for the existing booking without a call to our Club Ambassador for cancellation is considered a No Show and the Member’s membership will be subject to review by M World.

    2.4 At the request of the Member, additional or special arrangement services may be provided subject to the approval by M World. If the Member wish to make any additional or special arrangement, the Member shall sign a Declaration Form or any necessary form or document which M World deemed necessary. No refund will be arranged for cancellation of additional or special arrangement made within twenty-four (24) hours prior to the reserved/booking service date and time.

    2.5 All the distribution materials shall be served only as guidance or illustrations of the IPO Elite Club and any advertising matter and sample books are only intended to serve as a guide and not to be relied upon by the Member or treated as binding or as forming part of these conditions or any contract with the Member.

    2.6 IPO Elite Club are solely to be used for business related activities. Leisure activities shall be subject to the approval by M World. IPO Elite Club shall not be used to any illegal, immoral or illicit activity. M World’s staff reserves the right to check on the use of the IPO Elite Club at any time. If a misuse for any of the above described purposes is identified, M World reserves the right to remove the Member or any other accompanying guest(s) of the Member from the IPO Elite Club and/or IPO.

    2.7 In order to maintain Member expectations, children or guest below eighteen (18) years old are not permitted to use or access the IPO Elite Club. In the event that children are permitted access to the Club, they should be accompanied in the Club by a Member over the age of twenty-one (21) years at all times.


  3. Charges (If Applicable)

    4. 3.1 Charges payable to the IPO Elite Club shall be as stated in IPO Elite Club’s services menu subject to the terms and conditions therein.


  4. Member’s Obligations

    5. 4.1 Member shall use its reasonable endeavours to ensure a clean, safe and tidy environment in using the IPO Elite Club.

    
4.2 The Member shall ensure that he is at all times appropriately dressed and shall behave in an appropriate manner. IPO Elite Club reserve the right at their sole and absolute discretion to refuse entry or to remove any member whose behaviour or mode of dress is considered by IPO Elite Club to be unsuitable or is likely to offend other Members.

    4.3 Member shall not at his own liberty take any food and beverages from the bar counter at the IPO Elite Club. Every order or request of food and beverages have to be made by the assistance of Club Ambassador.

    4.4 Members must not remove food and/or drinks from the IPO Elite Club.

    4.5 M World reserve the right, in its absolute discretion, to exclude entry to IPO Elite Club or to ask a member to leave if they do not comply with these obligations.


  5. Limitation on Liability

    6. 5.1 M World shall under no circumstances be liable for any indirect, special or consequential loss, including but not limited to loss of profit, loss of contract, loss of revenue or loss of business, however arising whether in contract, tort (including negligence) or statutory duty or otherwise arising out of the visit and/or use of the IPO Elite Club by the Member or any accompanying guests(s) of the Member.

    
5.2 M World shall under no circumstances be liable or responsible for the personal belongings of any Member or any accompanying guest(s) of the Member, and a Member shall take personal belongings into the IPO Elite Club area solely at his own risk.

    
5.3 The Members shall fully indemnify and compensate M World and its directors, officers, employees, agents and sub-contractors (collectively ‘the indemnified parties’) against and hold each indemnified party harmless from all liabilities, damages, losses, claims, suits, judgments, costs and expenses (including reasonable legal fees) for injury to or death of any person or damage to or destruction of any property arising out of the use of IPO Elite Club by the Member or any other person accompanying the Member which are caused directly or indirectly through the act or omission, wilful misconduct or negligence of the Member or any accompanying guests(s) of the Member.

E. BOARDROOM & DISCUSSION ROOMS

  1. Boardroom and Discussion Rooms are available at the IPO to organise closed and internal business meeting. They can be reserved by Registered Member only via telephone at +603 8066 1888, +603 8061 8288, +603 8063 8288, (Monday to Friday, 9:00am – 6:00pm, Malaysia time) or at www.ipo-world.com (subject to the availability).

  2. Boardroom and Discussion Rooms are assigned on a first-come, first-served basis, while space is available. The maximum duration of usage of meeting room is up to five (5) hours within the operation hour in Clause 1. Any extension of the duration shall be made one (1) hour before the expiry of the said maximum duration and shall be subject to the approval of M World.

  3. In the event the Member wishing to amend an existing booking, the Member shall provide at least twenty-four (24) hours prior notice to M world and subject to availability.

  4. Boardroom and Discussion Rooms are solely to be used for closed and internal business meetings. Boardroom and Discussion Rooms shall not be used to any illegal, immoral or illicit activity. M World’s staff reserves the right to check on the use of the Boardroom and Discussion Rooms at any time. If a misuse for any of the above described purposes is identified, M World reserves the right to close down the room with immediate effect.

  5. All Members requesting access to the Boardroom or Discussion Rooms must be registered at the receptionist.

  6. M World shall have the right to terminate the membership of the Member if the Member violate any of the following rules and regulations:

    i) Compromising of secured locked doors or any other security features.
    ii) Entry into another member’s Boardroom or Discussion Rooms or restricted areas, such as M World’s employee and management room without the permission of M World’s management.
    iii) Intentional damage of M World’s property, equipment or furniture or another member’s.
    iv) Smoking on the premises other than the designated smoking area.
    v) Any physical alterations to the offices and/or common areas without prior knowledge and written permission from M World’s.
    vi) to conduct business in the Boardroom or Discussion Rooms in a non-intrusive professional manner that does not disturb the surrounding in any way.


F. IPO’S EXPERIENCE GALLERY

  1. IPO Experience Store is located at the IPO, Ground Floor. Viewing and visiting can be by special invitation from M World’s management or by booking via telephone at +603 8066 1888, +603 8061 8288, +603 8063 8288, (Monday to Friday, 9:00am – 6:00pm, Malaysia time) or at www.ipo-world.com (subject to the availability and first come first served basis).

  2. In the event the Member wishing to amend an existing booking, the Member shall provide at least twenty-four (24) hours prior notice to M World.

  3. IPO Experience Store retains the right to alter regular opening hours or close the showroom due to refurbishment, relocation or otherwise made at the discretion of M World’s.

  4. M World will not accept responsibility for any damage, loss or theft to the Member’s personal belongings during the visit of the Experience Store or any area of IPO.

  5. M World shall have the right to refuse admission or to remove the Member or any other accompanying guest(s) of the Member from the gallery where there is a breach of the following:

    i) not to cause inappropriate behaviour, interference, disruption, offence, hindrance or intimidate to any of the other visitors or the gallery officials, including but not limited to, prolonged obstruction of the view to exhibited objects or causing noise (including the use of mobile phones and sound equipment);
    ii) no consumption of any outside food or drink in the gallery except in the permitted area such as cafeteria.  For the avoidance of doubt, hot drinks may not be carried or consumed in the gallery, for the safety of other visitors;
    iii) not to access to any area of the gallery other than areas designated for access by Member;

  6. From time to time M World or other authorized third parties may carry out photography and/or other recording at the showroom and any images and/or recordings may feature members and/or visitors. You consent to the use of such images and/or recordings by us in connection with advertising, promoting the showroom or the branding of M World (such as on the M World website, social media sites and pages, partner sites, outdoor advertising and brochures for the M World, and for our internal purposes, and in doing so, you allow us to edit, modify, publish and make available such images and/or recordings. You acknowledge and agree that you will not receive compensation if we use such images and/or recordings for the purposes set out above.

  7. If any visitors to the showroom are under 18 years old, you, being the parent or legal guardian of such persons, also consent to the use of their image and/or recordings for the purposes set out above. You acknowledge that the copyright in such images and/or recordings rests with us and/or any authorized third party and accordingly you grant us and/or any authorized third party all rights in any images and/or recordings of you and/or your children.

  8. M World shall under no circumstances be liable for any indirect, special or consequential loss, including but not limited to loss of profit, loss of contract, loss of revenue or loss of business, however arising whether in contract, tort (including negligence) or statutory duty or otherwise arising out of the visit of the showroom by the Member or any accompanying guests(s) of the Member.

  9. M World shall under no circumstances be liable or responsible for the personal belongings of any Member or any accompanying guests(s) of the Member, and a Member shall take personal belongings into the showroom area solely at his own risk.

  10. 
The Members shall fully indemnify and compensate M World and its directors, officers, employees, agents and sub-contractors (collectively “the indemnified parties”) against and hold each indemnified party harmless from all liabilities, damages, losses, claims, suits, judgments, costs and expenses (including reasonable legal fees) for injury to or death of any person or damage to or destruction of any property arising out of the visit of IPO’s Experience Gallery by the Member or any other person accompanying the Member which are caused directly or indirectly through the act or omission, wilful misconduct or negligence of the Member or any other person accompanying the Member, except that such indemnification shall not extend to acts of gross negligence or willful misconduct by the indemnified parties.
